By engaging Soto Marketing Co. for services, you agree to the following terms. Please read them carefully — they protect both of us.
Soto Marketing Co. ("Soto Marketing," "we," "us") will provide social media management, digital strategy, content creation, and related marketing services as outlined in your selected package agreement. Any additional services outside of the selected package require written approval and may incur additional fees. All service scope, pricing, and deliverables will be confirmed in writing before work begins.
Payment is due prior to the start of each monthly service period. Accepted payment methods will be communicated upon onboarding. Late payments may result in a temporary pause of services until payment is received. All add-on services will be invoiced separately. Outstanding balances not paid within 14 days of the due date may incur a late fee.
Upon receipt of full payment for a given month, all content created by Soto Marketing for your business during that period becomes your property. Soto Marketing retains the right to display work in our portfolio and use it for promotional purposes unless you specifically request otherwise in writing. You represent that any materials, logos, photos, or content you provide to us are owned by you or that you have the legal right to use them.

Each package includes a standard revision round for content. Excessive revisions beyond the agreed scope may be subject to additional fees. Content that has been approved by the client and scheduled or published cannot be refunded or reversed.
Both parties agree to keep confidential any sensitive business information shared during the course of this agreement, including financial information, client data, marketing strategies, and proprietary processes. This confidentiality obligation survives termination of the agreement.
Either party may terminate this agreement with 30 days written notice sent to the other party's email address on file. Services will continue through the end of the current billing cycle. Any outstanding balances must be paid in full prior to termination. No refunds will be issued for work already completed or in progress.
Soto Marketing Co. is not responsible for results including but not limited to follower growth, sales, revenue, or platform algorithm changes. Marketing results depend on many factors outside our control. We will always perform services in good faith and with professional care, but we cannot guarantee specific outcomes.
In the event of a dispute, both parties agree to first attempt to resolve the matter in good faith through direct communication. If a resolution cannot be reached, disputes will be handled in accordance with the laws of the State of Tennessee.
These terms may be updated periodically. Clients will be notified of material changes via email. Continued use of services after notification constitutes acceptance of the updated terms.
